This "Agreement" contains the complete terms and conditions that apply to your participation in our site. If you wish to use the site including its tools and services please read these terms of use carefully. By accessing this site or using any part of the site or any content or services hereof, you agree to become bound by these terms and conditions. If you do not agree to all the terms and conditions, then you may not access the site or use the content or any services in the site.

Modifications of Terms of Use

Amendments to this agreement can be made and effected by us from time to time without specific notice to your end. This Agreement as posted on the Site reflects the latest agreement and you should carefully review the same before you use our site. Traders Launch LLC reserves the right to apply changes to any terms and conditions at any time. All changes will be effective immediately and shall be effective for any existing or new user.

Use of the Site

Permission is granted to temporarily use all features (Including User Dashboard, Data Feed and third party software) on Traders Launch LLC's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose, or for any public display (commercial or non-commercial)
• Attempt to decompile or reverse engineer any software contained on Traders Launch LLC's web site
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Traders Launch LLC at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Disclaimer

Traderslaunch.com and its suppliers shall not be liable in any respect for failures to perform hereunder due wholly or substantially to the elements, acts of God, labor disputes, acts of terrorism, acts of civil or military authority, fires, floods, epidemics, quarantine restrictions, armed hostilities, riots and other unavoidable events beyond the control of Traderslaunch.com or its suppliers, and the time for performance of obligations hereunder by Traderslaunch.com or its suppliers subject to such event shall be extended for the duration of such event.

Traderslaunch.com a property of Traders Launch LLC did not summon and/or recommend ANY kind of trading, trading decisions, investment and investment decisions but is a platform to prove you have what it takes to be a consistent trader.

Refund Policy

Due to the nature of service, we do not provide refunds except in the case where fraudulent activity is involved. In the case of a visitor who may infringe or repeatedly, infringes our copyrights or other intellectual property rights or the rights of others, we may, at our own discretion, terminate or deny access to and use of the Website and/or products. In the case of such termination, we will have no obligation to provide a refund of any amounts previously paid.

If for any reason you are dissatisfied with your purchase, please allow us to resolve the issue by sending an email to support@traderslaunch.com. Please include the words "Dissatisfied Purchase" in the subject of the email and we will promptly attempt to resolve the matter in your favor.

Registration Information

For you to complete the sign-up process on our site, you must provide your full legal name, current address, a valid email address, member name and any other information needed in order to complete the signup process. You must qualify that you are 18 years or older and must be responsible for keeping your password secure and be responsible for all activities and contents that are uploaded under your account. You must not transmit any worms or viruses or any code of a destructive nature. Any information provided by you or gathered by the site or third parties during any visit to the site shall be subject to the terms of TradersLaunch.com's Privacy Policy.

Term

This Agreement will remain in full force and effect while you use TradersLaunch.com. You may terminate your membership at any time for any reason by following the instructions on the "TERMINATION OF ACCOUNT" in the setting page. We may terminate your membership for any reason at any time. If you are using a paid version of the Service and we terminate your membership in the Service because you have breached this Agreement, you will not be entitled to any refund of unused fees previously paid for the Service. Even after your membership is terminated, certain sections of this Agreement will remain in effect.

Non-Commercial Use by Members

Participants in the Traders Launch prop trading evaluation program may not use the Services in connection with any commercial endeavors outside the scope of their own trading evaluation, nor may they resell, sublicense, or commercially exploit access to the platform or its data. Entities including organizations, companies, and businesses may not participate in the evaluation program unless expressly approved by Traders Launch LLC in writing.

Links & Framings

Illegal and/or unauthorized uses of the Services, including unauthorized framing of or linking to the Sites will be investigated, and appropriate legal action may be taken. Some links, however, are welcome to the site and you are allowed to establish hyperlink to appropriate part within the site provided that: (i) you post your link only within the forum, chat or message board section; (ii) you do not remove or obscure any advertisements, copyright notices or other notices on the placed at the site; (iii) the link does not state or imply any sponsorship or endorsement of your site and (iv) you immediately stop providing any links to the site on written notice from us. However, you must check the copyright notice on the homepage to which you wish to link to make sure that one of our content providers does not have its own policies regarding direct links to their content on our sites.

Warranty Disclaimer and Exclusions / Limitations of Liability

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of funding guarantees, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. We may change, restrict access to, suspend or discontinued the site or any part of it at any time. The information, content and services on the site are provided on an "as is" basis. When you use the site and or participate therein, you understand and agree that you participate at your own risk.

Performance Test Program

Traders Launch Evaluation Funded Trading Program, requires every user to fill out a KYC before you can start trading the Evaluation Live Account. Each user will automatically get all necessary applications sent to them by email.

Funding is conditional on meeting the stipulated simulated performance goals provided by Traders Launch LLC and meeting the eligibility requirements set forth by Traders Launch in its sole discretion.

Users qualifying for Trader Funding from authorized countries who follow their selected qualification rules, are eligible to earn performance-based payouts on simulated trading performance. All trading is executed in a simulated account provided by Traders Launch LLC with payout being based on simulated performance (performance-based trading). Payouts are contingent on the user's trading performance adhering to the stipulated risk management and performance rules of the Traders Launch LLC "Evaluation Account" sim trading account. Distribution of the payout earned in the simulated account can be distributed to the trader at the trader's sole discretion. Traders who do not satisfy the funded-stage performance requirements may be ineligible to reapply unless expressly stated otherwise. Notwithstanding the forgoing, if you are introduced to Traders Launch by a Traders Launch partner program, you may not be eligible for payouts on simulated trading profits.

High performance trader means any qualified Futures, Options and Stock Retail Trader and Pro Trader, who proves themself through exceptional risk management and consistent profit-taking in their selected Asset Classes. Funding provided is simulated buying power in a demo trading environment provided by Traders Launch LLC. All evaluation and funded-stage trading is conducted in a simulated account; no live brokerage account, real customer funds, or real market orders are involved at this stage. Funding is conditional on meeting the stipulated simulated performance goals provided by Traders Launch LLC and meeting the eligibility requirements set forth by Traders Launch in its sole discretion.

Evaluation Trader Responsibilities

All Evaluation Traders acknowledge that the Evaluation Account is a simulated environment that uses real-time or delayed market data feeds for pricing, but that all orders are simulated and are not routed to or executed in any live market. Due to the nature of simulated trading, Evaluation Traders are not permitted to take advantage of unrealistic fills, slippage using high-frequency algorithms, or hyper-scalping tactics that could result in unrealistic simulated trading performance. Traders Launch reserves the right to review trade performance and disqualify or terminate traders who use unauthorized methods to game the system. We recommend trading in a style consistent with disciplined risk management. If a user reaches the Evaluation Account profit goal without violating any risk or consistency rules, Traders Launch will consider extending a scalable funding offer to qualified traders. All funding offers are subject to the performance in the Evaluation account, criminal background check, and due diligence. There is no guarantee to receive a funding offer. Funding provided is simulated buying power in a demo environment operated by Traders Launch LLC. Simulated performance does not represent actual trading in live markets.

Evaluation Funded Trader Benefits

As soon as an Evaluation Funded Trader reaches the set profit goals set forth upon signup, and satisfies the consistency rule, without violating any risk rules and trade restrictions, the Evaluation Account will automatically be paused and a Traders Launch funding specialist will reach out to schedule a funding call. Based on your simulated trading performance and risk profile, Traders Launch will extend a scalable funding offer. If you accept the funding offer, you need to clear a background check and diligence process before Traders Launch will onboard you to the funded-stage program. The Evaluation Funded account will be closed and the share of the generated simulated profits will be paid out to the trader in accordance with the applicable payout schedule.

If a user rejects the scalable funding offer and chooses to stay in the simulated trading environment, they still are eligible for their share of the profits they made in the Evaluation Funded stage to date. After the initial profit split payout and rejecting the scalable funding offer, users are allowed to stay in the Evaluation Funded environment. Rules and restrictions apply.

Traders who reach $100,000 in cumulative payouts will be paused, and become eligible for additional scaling opportunities, including increased allocations and priority consideration for future live-capital opportunities. Continued participation and payouts remain subject to standard program rules.

Notwithstanding the forgoing, if you are introduced to Traders Launch by a Traders Launch partner program, you may not be eligible for payouts on simulated trading profits.

Simulated Trading Disclosure

Intellectual Property Rights

You hereby acknowledge that all rights, titles and interests, including but not limited to rights covered by the Intellectual Property Rights, in and to the site, and that You will not acquire any right, title, or interest in or to the site except as expressly set forth in this Agreement. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any of our services, software, or documentation, or create or attempt to create a substitute or similar service or product through use of or access to the Program or proprietary information related thereto.

Confidentiality

You agree not to disclose information you obtain from us and or from our clients, advertisers, suppliers and forum members. All information submitted to by an end-user customer pursuant to a Program is proprietary information of Traderslaunch.com. Such customer information is confidential and may not be disclosed. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.

Non-Assignment of Rights

Your rights of whatever nature cannot be assigned nor transferred to anybody, and any such attempt may result in termination of this Agreement, without liability to us. However, we may assign this Agreement to any person at any time without notice.

Waiver

Failure of the TradersLaunch.com to insist upon strict performance of any of the terms, conditions and covenants hereof shall not be deemed a relinquishment or waiver of any rights or remedy that the we may have, nor shall it be construed as a waiver of any subsequent breach of the terms, conditions or covenants hereof, which terms, conditions and covenants shall continue to be in full force and effect.

Severability of Terms

In the event that any provision of these Terms and Conditions is found invalid or unenforceable pursuant to any judicial decree or decision, such provision shall be deemed to apply only to the maximum extent permitted by law, and the remainder of these Terms and Conditions shall remain valid and enforceable according to its terms.

Entire Agreement

The Agreement describes and encompasses the entire agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the contents and materials provided by or through the Site, and the subject matter of this Agreement.

Independent Relationship; No Employment

Nothing in this Agreement creates an employment, agency, partnership, joint venture, or fiduciary relationship between you and Traders Launch LLC. You participate solely as an independent participant in a skills-evaluation and performance program. You are not an employee, contractor, or agent of Traders Launch LLC, are not entitled to any wages, benefits, or employment protections, and are solely responsible for any taxes arising from payouts you receive. Any payout constitutes a discretionary, performance-based award and not compensation for services rendered.

Governing Law; Dispute Resolution; Arbitration; Class Action Waiver

1. Governing Law

These Terms, the Services, any purchase, account, evaluation, SimFunded account, trading activity, payout, suspension, termination, or other relationship between you and Traders Launch LLC shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules that would require the application of the laws of any other jurisdiction.

2. Agreement to Arbitrate

Except as expressly provided below, you and Traders Launch LLC agree that any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Services, your account, any evaluation, any SimFunded account, any trading activity, any payout, any purchase, any refund, any chargeback, any suspension or termination, or any other relationship or transaction between you and Traders Launch LLC shall be resolved by final and binding individual arbitration. The arbitration shall be administered by the American Arbitration Association ("AAA") under the AAA rules that apply to the dispute, including the AAA Consumer Arbitration Rules where applicable. The seat and venue of arbitration shall be Philadelphia County, Pennsylvania. The arbitrator shall have authority to resolve all disputes regarding the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement.

3. Exceptions to Arbitration

Notwithstanding the agreement to arbitrate, either party may bring the following claims in court:

• Claims that qualify for small claims court, brought only on an individual basis;
• Claims seeking temporary, preliminary, or permanent injunctive or equitable relief to protect intellectual property, confidential information, trade secrets, account security, or platform integrity;
• Actions to compel, confirm, modify, vacate, or enforce an arbitration award; and
• Claims that cannot be required to be arbitrated under applicable law.

4. Court Venue for Non-Arbitrable Matters

For any dispute or proceeding not subject to arbitration, you and Traders Launch LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Philadelphia County, Pennsylvania, including the Court of Common Pleas of Philadelphia County and the United States District Court for the Eastern District of Pennsylvania.

5. Class Action, Collective Action, and Representative Action Waiver

You and Traders Launch LLC agree that all disputes must be brought and resolved only on an individual basis. You waive any right to bring, join, participate in, or recover through any class action, collective action, consolidated action, mass action, private attorney general action, or other representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief. If a court determines that this class action waiver is invalid as to a particular claim, that claim shall be severed from arbitration and may proceed in court, while all remaining claims shall be arbitrated individually.

6. Jury Trial Waiver

To the fullest extent permitted by law, you and Traders Launch LLC knowingly and voluntarily waive any right to a trial by jury in any dispute arising out of or relating to these Terms, the Services, your account, any evaluation, any SimFunded account, any trading activity, any payout, any purchase, or any other relationship or transaction between you and Traders Launch LLC.

7. Opt-Out Right

You may opt out of this arbitration agreement and class action waiver by sending written notice to Traders Launch LLC within thirty (30) days after the date you first accepted these Terms. Your opt-out notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out. 8. Severability

Except as otherwise stated in the class action waiver above, if any portion of this dispute resolution section is found to be invalid or unenforceable, that portion shall be severed, and the remaining portions shall remain in full force and effect.
